1. Agreement to these Terms
These Terms of Service govern your access to and use of GoColorado, a Colorado guide and experience marketplace operated by Clements Holdings, LLC.
By creating an account, submitting information, publishing a listing, communicating through GoColorado, or otherwise using the service, you agree to these Terms and the GoColorado Privacy Policy.
If you do not agree to these Terms, do not use GoColorado.
2. About GoColorado
GoColorado provides an online marketplace where customers may discover independent guides, outfitters, instructors, tour operators, and other experience providers.
Unless expressly stated otherwise, guide businesses are independent third parties and are not employees, agents, joint venturers, or representatives of GoColorado.
GoColorado does not itself provide the guided services listed by guide businesses.
3. Eligibility and accounts
You must be legally able to enter into a binding agreement to use GoColorado. Account holders must provide accurate, current, and complete information.
You are responsible for maintaining the confidentiality of your login credentials and for all activity performed through your account.
Notify GoColorado promptly at support@gocolorado.co if you believe your account has been accessed without authorization.
4. Guide-business responsibilities
Guide businesses are solely responsible for the services they offer and for complying with all laws, regulations, permit requirements, licensing rules, insurance obligations, safety standards, and professional duties applicable to those services.
Guide businesses must ensure that listing information is accurate and not misleading, including descriptions, availability, pricing, locations, qualifications, photographs, restrictions, and cancellation terms.
GoColorado may request supporting documentation and may review, reject, suspend, unpublish, or remove listings or accounts that do not satisfy platform standards.
5. Customer responsibilities
Customers are responsible for reviewing listing details, requirements, risks, cancellation terms, and other information before submitting or confirming a booking.
Customers must provide accurate booking and contact information and must comply with reasonable instructions, safety requirements, eligibility restrictions, and participation rules communicated by the guide business.
6. Listings and user content
Users may submit listings, photographs, descriptions, reviews, messages, responses, and other content.
You retain ownership of content you submit, but grant GoColorado a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, distribute, and use that content as reasonably necessary to operate, promote, secure, and improve the marketplace.
You may not submit content that is unlawful, fraudulent, misleading, defamatory, infringing, discriminatory, threatening, obscene, unsafe, or otherwise harmful.
7. Bookings
A booking is not confirmed until the applicable booking requirements have been completed and GoColorado indicates that the booking is confirmed.
Guide businesses may accept, decline, reschedule, or cancel booking requests subject to applicable policies and law.
Customers and guide businesses are responsible for reviewing all booking details and promptly communicating changes or concerns through the available platform tools.
8. Payments, fees, and payouts
Customer payments are processed through Stripe. Guide businesses may be required to create and maintain an eligible Stripe connected account to receive payouts.
GoColorado may charge marketplace, payment-processing, promotional-placement, subscription, or other fees. Any applicable fees will be disclosed before the relevant transaction or service is completed.
Payout timing may depend on Stripe processing, account verification, reserves, disputes, refunds, banking schedules, and other circumstances outside GoColorado’s direct control.
Users agree to comply with applicable Stripe terms and connected-account requirements.
9. Cancellations and refunds
Cancellations, refunds, credits, no-shows, weather-related interruptions, and rescheduling are governed by the applicable listing terms and the GoColorado Refund and Cancellation Policy.
GoColorado may review disputed refund requests and may issue or deny refunds based on the available booking, payment, communication, and policy records.
10. Reviews and communications
Reviews and guide responses must reflect genuine experiences and may not contain threats, harassment, confidential information, fabricated claims, or unlawful content.
GoColorado may moderate, decline, remove, or restrict content that violates these Terms or platform standards.
11. Prohibited conduct
You may not:
- Use GoColorado for unlawful, fraudulent, or deceptive activity.
- Impersonate another person or misrepresent a business.
- Attempt to avoid applicable fees or payment obligations.
- Interfere with the security or operation of the service.
- Upload malware, harmful files, or unauthorized automated content.
- Scrape, copy, reverse engineer, or misuse platform content or systems.
- Harass, threaten, discriminate against, or abuse other users.
- Use the platform to promote unsafe or prohibited services.
12. Safety and assumption of risk
Outdoor recreation and guided experiences may involve significant risks, including changing weather, wildlife, elevation, water, terrain, transportation, equipment, physical exertion, and remote locations.
Customers are responsible for evaluating whether an activity is appropriate for them and for disclosing relevant limitations or concerns to the guide business.
Participation may require separate waivers, releases, or agreements supplied by a guide business.
13. Marketplace role and third-party services
GoColorado provides marketplace, communication, booking, and payment-related tools. GoColorado does not guarantee the quality, legality, safety, availability, or suitability of any particular guide business or experience.
The service may include links to or integrations with third-party services. GoColorado is not responsible for third-party content, policies, availability, or conduct.
14. Suspension and termination
GoColorado may restrict, suspend, or terminate access to the service where reasonably necessary to protect users, enforce these Terms, investigate misconduct, address security concerns, comply with legal obligations, or maintain marketplace quality.
15. Disclaimers
To the fullest extent permitted by law, GoColorado is provided on an “as is” and “as available” basis. We do not warrant that the service will always be uninterrupted, error-free, secure, or suitable for every purpose.
16. Limitation of liability
To the fullest extent permitted by law, Clements Holdings, LLC and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business opportunity arising from use of GoColorado.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
17. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Clements Holdings, LLC and its affiliates from claims, losses, liabilities, damages, and expenses arising from your content, your services, your use of GoColorado, or your violation of these Terms or applicable law.
18. Governing law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where another law must apply.
19. Changes to these Terms
We may update these Terms as GoColorado develops or as legal and operational requirements change. Continued use after updated Terms become effective constitutes acceptance of the revised Terms.
